Except as explicitly provided in these Terms and Conditions, visitors may not copy, distribute, transmit, display, modify, create derivative works from or otherwise exploit any of the materials on this Site. The purpose of the Site is to allow others to share their meaningful and inspirational stories, statements, anecdotes, videos and/or photographs ("User Submissions"). The Site serves to host and publish the User Submissions deemed acceptable to Ryder Media, in its sole discretion. If you submit any material to the Site, you thereby acknowledge and agree that you are providing a license for Ryder Media to edit, modify, host and publish the User Submission on the Site, at Ryder Media’s sole discretion. This license to Ryder Media is perpetual, worldwide, non-exclusive, royalty-free, sublicensable and transferable. This license also provides Ryder Media with the right to publish, display and perform the User Submission in any media formats and through any media channels.
You hereby acknowledge and agree that you are responsible for your own User Submissions and the consequences of posting or publishing them. Ryder Media shall have no liability for any User Submission. For each User Submission that you provide to Ryder Media through the Site, you hereby affirm, represent and warrant that: (i) you own or have the necessary authority, license, right, consent and permission to use and to authorize Ryder Media to use and disseminate all trademark, trade secret, copyright, right of publicity or other proprietary rights in and to the User Submission to enable the hosting and publishing of the User Submission on the Site; (ii) you agree to pay for all royalties, fees and costs that will become due to any person by reason of the User Submission that you submit to the Site for hosting and publication and (iii) you have the written consent, license or permission of each and every identifiable individual in the User Submission to use that individual’s name or likeness within the User Submission.
In connection with each of your User Submissions, you hereby affirm, represent and warranty that: (i) you will not submit materials that contain falsehoods or misrepresentations that could damage the subject, any third party or Ryder Media; (ii) you will not submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; and (iii) you will not post advertisements or solicitations of business.
Ryder Media hereby expressly disclaims any and all liability in connection with any User Submissions. Ryder Media will make reasonable efforts to remove a User Submission if Ryder Media is notified that the User Submission infringes on another's intellectual property rights. Ryder Media reserves the right to remove a User Submission at any time without prior notice.
Occasionally there may be information on the Site that contains typographical errors, inaccuracies, or omissions or incorrect information. Ryder Media asks that you advise us of any material on the Site that is inaccurate. Please notify us by email to inaninstant@anneryder.com.
If you are an owner of intellectual property who believes your intellectual property has been improperly posted or distributed via this Site, please notify us by sending an email to inaninstant@anneryder.com.

You hereby acknowledge and agree that in no event shall Ryder Media (or its officers, directors, employees or agents) be liable for any damages, including without limitation, direct, indirect, incidental, consequential, or those related to lost data, loss of business or business interruption, delays, inaccuracies, failures, errors, omissions, interruptions, deletions, defects, viruses or communication line failures in connection with your use of or inability to use the Site, whether based on warranty, contract, tort or any other legal theory and whether or not we have been advised of the possibility of such damages.
You hereby agree not to use the Site for any unlawful or prohibited purpose. This includes anything which could damage, disable, overburden or impair the Site or any other party’s use of the Site. You shall not obtain or attempt to obtain any materials, works or data through any means not intentionally made available through the Site.
You hereby agree to defend, indemnify and hold Ryder Media harmless from and against any and all claims, damages, costs and expenses, including attorneys' fees, arising from or related to your use of the Site or your User Submissions posted to the Site.
This Agreement shall be construed in accordance with the laws of Indiana, without regard to any conflict of law provisions. Any dispute arising under this Agreement shall be resolved exclusively by state and/or federal courts located in Indianapolis, Marion County, Indianapolis, Indiana.
These terms are effective unless and until terminated by Ryder Media. Ryder Media may terminate these terms and conditions at any time, for any reason, and may do so immediately without notice. Upon termination, Ryder Media may deny you access to the Site. Upon your receipt of notice of termination by Ryder Media, you must promptly destroy any and all materials downloaded or otherwise obtained from this Site, as well as all copies of such materials, whether made under the terms of use or otherwise.
If any of these terms is held invalid or unenforceable, then it will be deemed superseded by a valid, enforceable provision that most closely matches the original intent of Ryder Media, and the remainder of the Agreement shall continue in effect. Unless otherwise specified and acknowledged by us in this Agreement, this is the entire agreement between you and Ryder Media with respect to the Site. It supersedes all prior or contemporaneous communications between you and Ryder Media concerning the Site.
